Subject: Conclusion of agreements on the transfer of copyrights to games

Legal basis: art. 17 (1) MAR – confidential information

The Management Board of ManyDev Studio SE with its registered office in Warsaw (“Company”, “Issuer”) hereby informs that yesterday, i.e. March 26th, 2024, the Company concluded (as the seller) with Madnetic Games S.A. (as a buyer) the following three agreements on the transfer of economic copyrights to games:

  1. An agreement the subject of which is the transfer of economic copyrights to a work in the form of Milestones (stages of the created work) of the computer game “Sword&Shield Simulator”, to the extent that the computer game is established as at the date of conclusion of the agreement, in the fields of exploitation indicated in the agreement, granting permission to exercise derivative copyrights and undertake not to exercise moral copyrights – for the seller’s remuneration in the amount of 20% of the net profit from the future computer game “Sword&Shield Simulator”.
  2. The Agreement, the subject of which is the transfer of economic copyrights to the work in the form of Milestones (stages of the created work) of the computer game “Corsair’s Madness”, collected by the seller, on the date of conclusion of the Agreement, by the person indicated in the content of the Agreement, in the fields indicated in the Agreement exploitation, granting permission to exercise derivative copyrights and undertaking not to exercise moral copyrights – for the seller’s remuneration in the amount of 20% of the net profit from the future computer game “Corsair’s Madness”.
  3. An agreement the subject of which is the transfer of economic copyrights to a work in the form of Milestones (stages of the created work) of the computer game “My Museum”, to the extent that the computer game is fixed as at the date of conclusion of the agreement, in the fields of exploitation indicated in the agreement, granting permission to exercising derivative copyrights and undertaking not to exercise moral copyrights – for remuneration specified as follows: the French company Plug In Digital (“Publisher”), which is the publisher of the above-mentioned game, is entitled to remuneration in the amount of 70% of the net profit from the computer game “My Museum” until the game production costs specified in the publishing agreement are reimbursed, while the Buyer, taking into account the transfer of rights and obligations arising from the Assignment Agreement – about which the Company informed in the report current no. 10/2024 of March 15, 2024 – is entitled to 30% of the net profit from the above-mentioned during this period. games. However, after the reimbursement of the production costs of the above-mentioned game, the Publisher will be entitled to remuneration in the amount of 35% of the net profit from the above-mentioned. game, while the Buyer will be entitled to 65% of the net profit from the game. Until the cost of production of the game is refunded, the Buyer, by virtue of the transfer of proprietary copyrights and other regulations and obligations included in the agreement, will be obliged to pay the Company 10% of the net profit from the game, and after the reimbursement of the game costs, 20% of the net profit; in both cases, the funds paid to the Company will come from the funds allocated to the Buyer from the Publisher.
