Subject: Notification pursuant to Art. 69 of the Public Offering Act on changing the share in the total number of votes
Legal basis: Art. 70 point 1 of the Act on Public Offering
ManyDev Studio SE (hereinafter referred to as the “Company”), in fulfillment of the obligation provided for in Art. 70 points 1 of the Act of July 29, 2005 on public offering and conditions for introducing financial instruments to organized trading and on public companies (hereinafter referred to as the “Act”), hereby informs about the receipt on May 21, 2024 of a notification submitted by a shareholder of the Company under Art. 69 above Acts. The notification in question was submitted by PlayWay S.A. based in Warsaw, ul. Bluszczańska 76 paw.6, 00-712 Warszawa, KRS: 0000389477 (hereinafter: “PlayWay”). In accordance with the above-mentioned notification: “change of the previously held share in the total number of votes in MANYDEV STUDIO SE, including exceeding the threshold specified in Art. 69 section 1 point 2 of the Act, occurred as a result of the sale of the Company’s shares outside the alternative trading system as a result of concluding a civil law contract and its settlement on the PlayWay S.A. brokerage account.
Before the above event, PlayWay held 6,899,999 (six million eight hundred and ninety-nine thousand nine hundred and ninety-nine) shares constituting 30.53% (rounded to two decimal places) in the share capital of ManyDev Studio, entitling to 6,899,999 votes, which constituted 30, 53% (rounded to two decimal places) of the total number of votes at the general meeting of ManyDev Studio. Currently, PlayWay does not hold any shares (0% in the share capital of ManyDev Studio, 0 votes, which constitutes 0% of the total number of votes at the general meeting of ManyDev Studio).
